Service Agreement
This Service Agreement (“Agreement”) is made on , by and between:
Service Provider:
Shreeram Techedge Pvt Ltd, a company registered under the laws of India, having its registered office at 123 Tech Park, Innovation City, Mumbai, 400001, India.
Client:
[Institute/School/Coaching Name], having its office at [Address].
Collectively referred to as the “Parties” and individually as a “Party”.
1. Scope of Services
1.1 The Service Provider agrees to provide access to its SaaS platform [Product Name] (“Platform”) for use by the Client, including but not limited to:
- Student dashboard for tests & quizzes.
- Teacher dashboard for test generation & reports.
- Admin panel for institute management.
1.2 The Platform will be provided in accordance with the features, specifications, and pricing as per the agreed plan/quotation.
2. Term & Renewal
2.1 This Agreement shall commence on the date of signing and remain valid for [12 months].
2.2 Upon expiry, the Agreement may be renewed by mutual consent with revised pricing (if applicable).
3. Fees & Payment
3.1 The Client shall pay the Service Provider subscription fees as per the quotation/invoice.
3.2 Payments shall be made via bank transfer/UPI/online gateway within [X days] of invoice.
3.3 Delay in payment beyond [15 days] may result in suspension of services.
4. Data & Confidentiality
4.1 All data entered by the Client (student/teacher records, results, etc.) shall remain the Client’s property.
4.2 The Service Provider will ensure strict confidentiality and will not share client data with any third party except as required by law.
4.3 The Service Provider may use aggregated/anonymized data for product improvement and analytics.
5. Service Availability & Support
5.1 The Service Provider shall ensure 99% uptime (excluding planned maintenance).
5.2 Technical support shall be provided via email/phone/WhatsApp during business hours.
5.3 Planned downtime will be notified to the Client in advance.
6. Responsibilities of the Client
6.1 Provide accurate student/teacher data for onboarding.
6.2 Ensure compliance with IT laws while using the Platform.
6.3 Maintain confidentiality of login credentials.
7. Intellectual Property
7.1 The Platform, its code, design, trademarks, and content are the exclusive property of the Service Provider.
7.2 The Client is granted only a limited, non-exclusive, non-transferable license to use the Platform.
8. Limitation of Liability
8.1 The Service Provider shall not be liable for indirect, incidental, or consequential damages.
8.2 The maximum liability of the Service Provider shall not exceed the total fees paid by the Client in the last 6 months.
9. Termination
9.1 Either Party may terminate this Agreement with 30 days written notice.
9.2 In case of material breach (e.g., non-payment, misuse), the Service Provider may suspend services immediately.
9.3 Upon termination, the Client’s access will be revoked, but data backup will be provided for [30 days].
10. Governing Law & Dispute Resolution
10.1 This Agreement shall be governed by and construed in accordance with the laws of India.
10.2 Any disputes shall be subject to the exclusive jurisdiction of the courts in Mumbai, India.
11. Miscellaneous
11.1 Amendments: Any changes must be in writing and signed by both Parties.
11.2 Entire Agreement: This document constitutes the entire agreement between the Parties.
11.3 Notices: All notices shall be sent to the addresses mentioned above via email or registered post.
Extra Clauses for White-Label App
12. White-Label Rights & Branding
12.1 The Service Provider will provide a customized version of the Platform with the Client’s name/logo/colors (“White-Label App”).
12.2 The White-Label App will be owned and operated by the Service Provider; the Client is granted only a license to use and market it to its students.
12.3 The Client may not re-sell, sublicense, or transfer the White-Label App to any third party without written consent.
13. Setup & Maintenance
13.1 One-time setup/customization fee will be charged as per Annexure A (Pricing).
13.2 The Service Provider will maintain and update the White-Label App, including bug fixes and feature upgrades.
13.3 Custom feature requests outside the standard package will be charged separately.
14. Intellectual Property
14.1 The core Platform, codebase, and infrastructure remain the sole property of the Service Provider.
14.2 The Client’s brand/logo shall remain the Client’s property; usage is limited to the White-Label App for the duration of this Agreement.
15. Termination (White-Label Specific)
15.1 On termination, the Client’s White-Label App will be deactivated.
15.2 Student/teacher data will be returned within 30 days in CSV/Excel format.
Annexures
Annexure A – Pricing
- SaaS Subscription Fee (per student/teacher or flat annual).
- White-Label Setup Fee (one-time).
- White-Label Maintenance Fee (monthly/annual).
- Customization Fee (per request, if applicable).
Annexure B – Service Level Agreement (SLA)
- Uptime Guarantee: 99% per month (excluding planned downtime).
- Support Response Time:
- Critical issues: < 6 hours
- High priority: < 24 hours
- Normal queries: < 48 hours
- Backup & Recovery: Daily automated backup, 7-day restore available.
- Security: Data stored in secure cloud servers with encryption at rest and in transit.
Annexure C – Onboarding & Training
- Initial teacher/admin training (online session).
- Documentation & user manual provided.
- Support channels: Email, WhatsApp, Phone.
